These Terms of Use (the "Terms") govern your access to and use of the free tools, calculators, demos, and related outputs that Distill Energy, Inc. ("Distill," "we," "us") makes available to the public at no charge, including but not limited to Distill Lab tools (the "Free Tools"). By accessing or using the Free Tools, you agree to these Terms. If you do not agree, do not use the Free Tools.
1. Purpose; No Charge
The Free Tools are provided free of charge for general informational and educational purposes only. We may change, limit, suspend, or discontinue any Free Tool, in whole or in part, at any time and without notice. We have no obligation to maintain, support, or update the Free Tools.
2. Relationship to Distill's Commercial Services
These Terms apply only to the Free Tools. Distill's paid and commercial products and services are provided under separate written agreements negotiated with each customer (for example, a master services agreement, subscription agreement, or order form). Those separate agreements — not these Terms — govern any paid or contracted use of Distill's services, and in the event of a conflict for a contracted customer, the separate agreement controls with respect to the services it covers. Nothing in these Terms creates any commercial relationship, service-level commitment, support obligation, or entitlement to Distill's paid services.
3. Permission to Use
Subject to these Terms, you may access and use the Free Tools and may use, reproduce, and share the outputs they generate, including for commercial purposes, at no charge.
4. Acceptable Use
You will not:
- use the Free Tools in violation of any law or regulation;
- attempt to disrupt, overload, scrape at scale, or gain unauthorized access to the Free Tools or related systems;
- present the outputs as guaranteed, certified, or as Distill's advice;
- misrepresent the source of the outputs or imply Distill's endorsement of your use.
5. Probabilistic Outputs — Important
The Free Tools produce probabilistic estimates relating to energy generation, demand, prices, or similar variables. These outputs are statistical estimates expressed with inherent uncertainty — they are not statements of fact, guarantees, or predictions of certain outcomes, and actual results may differ materially. The outputs are not financial, investment, trading, legal, regulatory, or operational advice, and are not a recommendation to take or refrain from any action. You are solely responsible for any decision or action you take based on the Free Tools or their outputs.
6. No Warranty
THE FREE TOOLS AND THEIR OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTILL WILL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR DECISIONS ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE FREE TOOLS OR THEIR OUTPUTS — INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — EVEN IF ADVISED OF THE POSSIBILITY. BECAUSE THE FREE TOOLS ARE PROVIDED AT NO CHARGE, THIS ALLOCATION OF RISK IS A CONDITION OF YOUR USE.
8. Intellectual Property
Distill owns all rights in the Free Tools, including their software, models, methodologies, and design, except for the limited permission granted in Section 3. These Terms do not transfer any ownership to you.
9. Indemnification
You agree to indemnify and hold Distill harmless from any claims, losses, and reasonable costs arising from your use of the Free Tools in violation of these Terms or applicable law.
10. Changes to These Terms
We may update these Terms at any time by posting the revised version with a new "Last updated" date. Your continued use of the Free Tools after changes take effect constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of Delaware, without regard to conflict-of-laws rules.
