Distill Energy Demo – Terms of Service

Effective Date: May 5, 2025

These Terms of Service ("Terms") govern your access to and use of the Distill Energy, Inc. ("Distill," "we," "our," or "us") online demonstration platform, content, and services (collectively, the "Demo"). By accessing or using the Demo, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Demo.


1. Eligibility & Demo Access

  1. You must be at least 18 years old and have the legal authority to enter into these Terms.
  2. Distill may grant or revoke Demo access in its sole discretion and may require registration information that is accurate and complete. You agree to keep your credentials confidential and are responsible for activity under your account.

2. Limited License & Permitted Use

  1. Distill grants you a non‑exclusive, non‑transferable, revocable, limited license to access and internally evaluate the Demo solely for the purpose of assessing Distill's products and services.
  2. You may download or export materials only as expressly enabled by the Demo and solely for the evaluation purpose described above.

3. Prohibited Activities

You shall not:

  • use the Demo or any output for commercial exploitation, resale, or public disclosure;
  • copy, modify, reverse engineer, decompile, attempt to derive source code from, or create derivative works based on the Demo or its data;
  • interfere with or disrupt the Demo, servers, or networks;
  • defeat, avoid, or circumvent any security or usage‑limit mechanism; or
  • upload or transmit any malicious code, or infringe, violate, or misappropriate another's rights.

4. Intellectual Property

All intellectual property rights in and to the Demo, including all software, interfaces, data, and content provided by Distill, are and will remain the exclusive property of Distill or its licensors. Except for the limited license expressly granted in Section 2, no rights are granted by implication, estoppel, or otherwise.

5. Confidentiality

The Demo, its features, roadmap, and any non‑public information you obtain are Distill's confidential information. You will not disclose, publish, or otherwise make available such information to any third party without Distill's prior written consent.

6. Data & Feedback

  1. Usage Data. Distill may monitor your use of the Demo and collect technical and usage data to operate, improve, and secure its services.
  2. Feedback. If you provide comments, suggestions, or other feedback ("Feedback"), you grant Distill a perpetual, irrevocable, worldwide, royalty‑free license to use and exploit the Feedback without restriction.

7. Disclaimers

THE DEMO IS PROVIDED "AS IS" AND "AS AVAILABLE" FOR EVALUATION ONLY. DISTILL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON‑INFRINGEMENT. DISTILL DOES NOT WARRANT THAT THE DEMO, OR ANY RESULTS OR DATA, WILL BE COMPLETE, RELIABLE, CURRENT, ERROR‑FREE, OR MEET YOUR NEEDS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTILL AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE DEMO OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. DISTILL'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE DEMO OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

9. Indemnification

You agree to indemnify and hold harmless Distill and its affiliates from and against any and all claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Demo or violation of these Terms.

10. Suspension & Termination

Distill may suspend or terminate your access to the Demo at any time, with or without notice, for any reason or no reason. Upon termination, Sections 3–13 will survive and continue in effect.

11. Governing Law; Venue

These Terms and any dispute arising hereunder are governed by the laws of the State of Delaware, without regard to its conflict‑of‑laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

12. Changes to Terms

Distill may update these Terms from time to time by posting a revised version on the Demo or notifying you. Continued use after the effective date constitutes acceptance of the revised Terms.

13. General Provisions

  • Entire Agreement. These Terms constitute the entire agreement between you and Distill regarding the Demo.
  • Severability. If any provision is held unenforceable, the remaining provisions will remain in full effect.
  • No Waiver. Distill's failure to enforce any provision will not constitute a waiver.
  • Assignment. You may not assign or transfer these Terms without Distill's prior written consent; Distill may freely assign.
